The class action is brought on behalf of persons who acquired shares of Cathay Forest Products Corp., between November 9, 2009 and February 1, 2011, including those who purchased shares in the December 2009 public offering. The class action arises from CFZ’s restatement of its financial statements and MD&A for the third quarter of 2009, the 2009 fiscal year, and the first two quarters of 2010. The plaintiff alleges, among other things that CFZ’s financial statements and MD&A for the third quarter of 2009, the 2009 fiscal year, and the first two quarters of 2010 were false and/or materially misleading.
