Armtec Infrastructure Inc.
In 2011, Siskinds LLP and Siskinds Desmeules filed proposed class actions in Ontario and Québec against Armtec Infrastructure Inc. (TSX:ARF) (“Armtec”). Also named as defendants are certain officers and directors of Armtec, and certain underwriters in an Armtec share-offering conducted pursuant to a prospectus dated April 6, 2011.
The Ontario action is brought on behalf of all persons, who acquired securities of Armtec between March 30, 2011 to and including June 8, 2011, including those who purchased Armtec shares in the April 2011 public share-offering. Excluded from the class in the Ontario action are residents of Quebec who are not precluded from participating in a class action under the Quebec Code of Civil Procedure and who do not opt out of the Quebec action described below.
The Québec action is brought on behalf of all persons and entities, wherever they may reside, who purchased or otherwise acquired securities of Armtec, from and including March 30, 2011 to and including June 8, 2011, including those who purchased Armtec shares in the April 2011 public share-offering.
The Ontario and Québec claims allege that the Preliminary Prospectus and Prospectus did not contain full, true and plain disclosure of all material facts.
